TERMS OF SERVICE

These terms govern your use of the EZB Logistics platform at ezblogistics.com. By creating an account, posting a load, or claiming one, you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.

WHAT EZB LOGISTICS IS

We provide freight coordination and dispatching services: we connect shippers who have freight with carriers who have equipment, and we coordinate the paperwork around a load. We are not a motor carrier. We do not own or operate trucks and we do not take possession of cargo. The carrier that hauls a load is solely responsible for the transportation, the equipment, the driver, and compliance with all applicable safety and operating rules.

ACCOUNTS

• Provide accurate information and keep it current, especially insurance and authority details.
• Keep your password confidential and tell us promptly about unauthorized use.
• You are responsible for activity under your account. Administrator accounts can see and change all records in the platform, so grant that access carefully.
• We may suspend or close an account that breaches these terms or creates risk for others.

CARRIER OBLIGATIONS

• Hold and maintain active operating authority and the insurance required by law and by us.
• Provide current compliance documents and renew them before they expire.
• Haul only with the equipment and capacity you represent, and only loads assigned to you.
• Do not re-broker or subcontract a load without our prior written consent. Doing so is a material breach and leaves you liable for the consequences.
• Communicate delays and exceptions promptly through the tracking link or your dispatcher.
• Comply with hours-of-service, weight, and cargo-securement rules at all times.

SHIPPER OBLIGATIONS

• Describe freight accurately: commodity, weight, dimensions, packaging, and any special handling.
• Ship only lawful goods, and disclose anything hazardous, high-value, or temperature-sensitive.
• Provide safe, accessible loading and unloading locations within the stated appointment windows.
• Pay agreed charges when due.

LOAD BOARD AND CLAIMS

Submitting interest in a load is a request, not a booking. A load is not assigned to you until we confirm it in writing. Posted rates are indications and may change with fuel, lane, and timing until confirmed. We may decline any claim and may withdraw or repost a load at any time before confirmation.

Once a load is assigned, the confirmed rate and any accessorials are the ones stated in your confirmation. Detention, layover, lumper, and reconsignment charges require documentation and prior approval.

FEES

Fees for dispatch and coordination services are set out in your separate written agreement or invoice. Unless that agreement says otherwise, invoices are due on the terms stated on the invoice, and you are responsible for taxes that apply to the services.

ACCEPTABLE USE

You agree not to:

• Use the platform for any unlawful purpose, or to move freight you are not authorized to move.
• Submit false authority, insurance, or identity information.
• Scrape, harvest, or resell load data, or access the platform with automated tools without our consent.
• Probe, disrupt, or attempt to gain unauthorized access to the platform or another user's records.
• Use another party's tracking link to impersonate them or falsify a load status.

INTELLECTUAL PROPERTY

The platform, its software, design, text, and content, and the EZB Logistics name and logo, are owned by EZB Logistics and protected by copyright, trademark, and trade secret law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the platform for your own business in accordance with these terms.

You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the platform, or use our name or logo without our written permission. All rights not expressly granted are reserved.

You keep ownership of the information and documents you upload, and you grant us a license to use, store, and process them as needed to provide the service and meet our legal obligations.

CONFIDENTIALITY

Each of us may receive non-public information from the other: shipper identities, lanes, rates, volumes, customer lists, and operating methods. Each of us agrees to keep that information confidential, use it only to perform under these terms, and not disclose it to third parties except to employees, contractors, and advisers who need it and are bound by equivalent duties, or where the law requires disclosure.

This does not cover information that is already public, was known to the recipient before disclosure, or is independently developed without use of the confidential information. These obligations survive the end of your use of the platform.

THIRD-PARTY SERVICES

The platform links to and relies on services we do not control, including map, email, sign-in, and AI providers. Their terms and privacy practices apply to your use of them, and we are not responsible for their content or availability.

DISCLAIMERS

The platform is provided "as is" and "as available." We do not warrant that it will be uninterrupted, error-free, or that rate estimates, revenue calculations, or carrier performance figures will match any particular outcome. Those figures are estimates for planning only and are not an offer of freight or a guarantee of earnings.

We do not guarantee that a load will be available, that a carrier will accept it, or that freight will move on schedule. To the extent the law allows, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

LIMITATION OF LIABILITY

To the extent permitted by law, EZB Logistics is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost freight opportunities, arising out of your use of the platform. Our total liability for any claim relating to the platform is limited to the greater of the fees you paid us in the three months before the claim or one hundred dollars.

Nothing here limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

INDEMNIFICATION

You agree to indemnify and hold EZB Logistics, its officers, and employees harmless from claims, losses, and reasonable legal costs arising from your breach of these terms, your violation of the law or of another party's rights, or the transportation services you provide or procure.

TERMINATION

You may stop using the platform at any time. We may suspend or terminate access if you breach these terms, if required by law, or if continuing to serve you creates risk for other users. Sections on intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law survive termination.

GOVERNING LAW AND DISPUTES

These terms are governed by the laws of the State of Wisconsin, without regard to its conflict of law rules. Before filing a claim, you agree to contact us and allow 30 days to resolve the dispute informally. If that fails, disputes will be resolved in the state or federal courts located in Wisconsin, and both parties consent to that jurisdiction.

CHANGES

We may update these terms. If a change is material we will update the date above and, where appropriate, notify you by email. Continued use after a change means you accept the revised terms.
